25%, 15% and the Final Payment of 10%. In the event any of the foregoing merchandise is damaged, Decorator agrees to proactively handle the return and exchange of the damaged merchandise. In the event that the merchandise is never received, Decorator agrees to assist Owner in arranging for the refund from the Vendor to the Owner of the amount paid to the Vendor. While the receiving warehouse has the responsibility to report any damaged merchandise upon receipt, Decorator shall, inspect the merchandise within 72 hours of receipt by the warehouse: in the event that such inspection(s) disclose any damage, Decorator will thereupon promptly notify the Owner and necessary parties of the damage. All material is subject to the approval of the Owner based upon inspections performed by the Owner, the warehouse and Decorator upon delivery. Decorator will provide reasonable advance written notice to the Owner as to the time and date of each inspection(s) to enable Owner to attend. Decorator, shall, however, have no responsibility for building management schedule for access to the site or the warehouse, work hours, rules, or availability of the elevators for delivery or construction crew and materials. 5. All submittals shall be responded to (and approved where appropriate) by Client within seven (7) business days of receipt of such submittal by the Client or such additional time that is required based upon the nature of the request and any extension of time request will not be unreasonably withheld by the Decorator. 6. Decorator is not and shall not at no time be deemed as the Seller, Provider or Bailee regarding the materials, furniture, furnishings and equipment stored at the project premises once accepted by the Owner. 7. The Client shall be responsible for filing any documents required for the approval of governmental authorities having jurisdiction over the Project or shall assign & hire someone to do this on their behalf. 4. Neither the Client nor Decorator shall assign, convey, or otherwise transfer their/its interest in this Agreement without the written consent of the other.

8. All work shall be performed during regular business hours 9am-6pm Monday through Friday. Evening, weekend and Holiday rates are not included and may require additional fees.

9. Hourly Rates, where applicable, are as follows:

President: $400.00 per hour

Decorating Director: $350.00 per hour Studio Director: $300.00 per hour

 Senior Decorating Consultant: $250.00 per hour  Project Manager: $225.00 per hour  Intermediate Decorating Consultant: $200.00 per hour  Junior Decorating Consultant: $175.00 per hour  Decorating Assistant: $100.00 per hour  Travel/Day Rate to FL: President and Others at a Flat Fee of $1,000.00**

Rates do not include applicable taxes.

**Please note:

 Twenty Five (25) Travel/Day trips in total are included within Decorator’s Fee. To the extent that less than twenty five (25) Travel/Day Trips have not been used the unused Travel/Day Trips will be credited to the Client.  One (1) Travel/Day trip is defined as One (1) person’s return travel to the Project Site.
