 Select and specify FF&E items for areas as needed (furniture, window treatments, drapery, fabrics, wall coverings, wall treatments, lighting, carpeting, painting, decorative finishes, art, and other decorative items).  Upon Client approval, place orders on behalf of Client for all FF&E items as needed and prepare all Purchase Orders (“PO”) and be responsible for the procurement, transportation, delivery, warehousing, insurance and installation of all FF&E for the Project.  Assist in expediting long lead-time items and follow-up of all orders.  Arrange and coordinate all deliveries on behalf of Client including warehouse deliveries and installation of all FF&E items and accessories of orders placed and coordinate such Services with the Architect.

Additional Services:

Additional Services not listed above shall be negotiated as necessary between the Owner and Decorator.

E. FEE COMPENSATION:

Waivers and Releases of Lien:

As to each payment, the Decorator will provide Owner with appropriate lien releases from Decorator and its Vendors and sub-consultants. Decorator agrees to defend, indemnify and hold the Owner harmless for any non-payment claims made by any Vendor and/or sub-consultant with respect to Services performed on behalf of Decorator with respect to Services performed on behalf of Decorator pursuant to this Agreement. As for additional services outside the scope of this Agreement Decorator will provide such services at an hourly rates as specified in in this Agreement. Decorator will submit billing invoices to the Owner at Thirty (30) day intervals setting forth the number of hours worked and a description of the Services performed. Time shall be of the essence for each payment. Failure to make a timely payment for Services not in dispute under this Agreement, shall be considered a material breach of this Agreement.

Decorating:

In consideration of the Services listed above Decorator shall be paid a flat fee of Eight Hundred and Seventy Five Thousand Dollars and Zero Cents ($875,000.00)* plus applicable taxes (if any) payable in sixteen equal monthly installments of Fifty Four Thousand Six Hundred Eighty Seven Dollars and Fifty Cents ($54,687.50) plus applicable taxes (if any) commencing on February 1, 2020.

*Please note:

 Decorator’s time and travel expenses for Twenty Five (25) travel/day trips or on-site meetings are included within the Fee (inclusive of 1 person only). All trips and/or on-site meetings shall be subject to the advance written approval of the Owner. Should more than Twenty Five (25) travel/day trips or on-site meetings be required, then Decorator’s time shall be billed as an Additional Service at the Flat Rate of $1,000.00 per visit. Deposits are required to place all decorating orders; balances to be paid prior to delivery for all shipping and delivery costs. These fees are in addition to the scheduled payments listed above. Deposits are to be consistent with Vendors’ payment terms. However, under no circumstance will Decorator be liable for the cost of merchandise ordered.

All payments for decorating items are due upon receipt. Failure to submit payment within ten (10) days may stop all work until payments are brought up to date. If the Owner has not paid non-disputed
