AGREEMENT FOR INTERIOR DECORATING SERVICES

FRENCHMAN’S CREEK, INC. with its principal office at 13495 Tournament Drive, Palm Beach Gardens, Florida 33410 (“Owner” or “Client”) enters into this Interior Decorating Services Agreement (“Agreement”) dated this ____ day of ___________, 2019 (“Effective Date”) with PEMBROOKE & IVES LUXURIOUS INTERIORS, INC. (“Decorator”) with its principal office at 330 West 38 Street, Suite 1001, New York, New York 10008 relating to professional interior decorating services to be performed at the Frenchman’s Creek Country Club in Palm Beach Gardens, Florida including the spaces referenced in B below entitled Project Description (“Project”). None of the Services described in this Agreement shall constitute interior design services as defined by Florida law. “Days” as referenced in this Agreement means “consecutive calendar days” unless otherwise specified. “Business Days” means Monday through Friday and excludes Saturday and Sunday as well as National Holidays as recognized by the Federal Government. All approvals to be issued by the Owner shall be in writing along with all recommendations of the Decorator to the Owner. “Decorating Services”: The Decorator shall provide decorating advice and recommendations to the Owner which includes the procurement, transportation, delivery, warehousing, insurance and installation of various furniture, fixtures, equipment, material and similar furnishings (“FF&E”) for the Project (“Services”). Decorator will also coordinate its Services with those services provided to the Owner by the Architect as defined below. DEFINITIONS:

“Approvals”: The recommendations of the Decorator are subject to the written acceptance thereof by the Owner.

“Architect”: Glidden Spina & Partners Architecture Interior Design Inc.

“Exhibits”: To the extent of any conflict between this Agreement and the exhibits, this Agreement shall control. The Exhibits contemplated by this Agreement consist of the following:

The Exhibits are hereby incorporated in this Agreement by reference.

“Vendor”: The supplier of furnishings, fixtures, equipment and other materials to be incorporated into the Project as provided by this Agreement.

A. STANDARD OF CARE:

All services rendered by Decorator pursuant to this Agreement will be performed in accordance with
